End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("User" or "you") and ARC Labs ("we," "our," or "us") governing your use of the Arc Labs platform, mobile applications, and related services (collectively, the "Services"). By accessing, downloading, installing, or using the Services, you agree to be bound by the terms of this EULA.

1. License Grant

ARC Labs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services on devices that you own or control, solely for your personal or internal business use, subject to the terms of this EULA.

2. Restrictions

You may not:

• Copy, modify, adapt, translate, or create derivative works of the Services
• Reverse engineer, decompile, disassemble, or attempt to derive the source code
• Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Services to any third party
• Remove, alter, or obscure any proprietary notices or labels
• Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
• Use the Services to provide commercial services to third parties without prior written consent

3. Intellectual Property

The Services, including but not limited to code, design, user interface, algorithms, crop steering data, AI prompt structures, logos, and branding, are the exclusive intellectual property of ARC Labs and are protected by copyright, trade secret, and other intellectual property laws. This EULA does not grant you any ownership rights.

4. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. ARC Labs expressly disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Services will meet your requirements, be error-free, or operate without interruption
• Warranties regarding the accuracy, reliability, or completeness of any calculations, AI-generated advice, or crop steering recommendations

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARC LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to:

• Loss of profits, revenue, data, or business opportunities
• Crop loss, plant damage, or reduced yield
• Damage to equipment, facilities, or property
• Personal injury or any other damages arising from or related to your use of or inability to use the Services

In no event shall ARC Labs' total liability to you for all damages exceed the amount you paid for the Services in the twelve (12) months preceding the claim.

6. AI-Generated Advice

The Services may include AI-powered features. You acknowledge and agree that:

• AI-generated advice is advisory only and should not be relied upon as the sole basis for cultivation decisions
• AI outputs may contain inaccuracies, inconsistencies, or recommendations unsuitable for your specific grow environment
• You are solely responsible for evaluating and validating any AI-generated recommendations before implementing them
• ARC Labs does not guarantee the accuracy, completeness, or suitability of any AI-generated content

7. Cultivation Compliance

The Services are calculation and monitoring tools. They do not provide legal advice regarding cannabis cultivation. You are solely responsible for ensuring that your use of the Services and your cultivation activities comply with all applicable federal, state, and local laws, regulations, and licensing requirements.

8. Updates and Modifications

ARC Labs may, at its sole discretion, provide updates, upgrades, or modifications to the Services. This EULA shall apply to any such updates unless accompanied by a separate license. ARC Labs reserves the right to discontinue any Services or features at any time without notice or liability.

9. Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Services. The provisions of Sections 2-7 and 10 shall survive termination.

10. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict of law principles. Any disputes arising from this EULA shall be resolved in the courts of Oklahoma County, Oklahoma.
